  1. Introduction and Binding Effect

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Heaven Technology LLC, a limited liability company organized under the laws of the State of New Mexico (“Company,” “We,” “Us,” or “Our”), and any person or entity accessing, using, or engaging with its website https://myonetech.com or its related services (“User,” “You,” or “Customer”).

By accessing, viewing, registering, purchasing, scanning, or otherwise interacting with any Service, You agree to be fully and unconditionally bound by these Terms, the Privacy Policy, and all incorporated documents. If You act on behalf of a business, You represent and warrant that You have full authority to bind such entity. Continued access constitutes full acceptance.

  1. Governing Law, Supremacy, and Jurisdiction

These Terms are governed solely by the laws of the United States of America and the State of New Mexico, without regard to conflicts of law.

All claims, disputes, or proceedings shall lie exclusively within the Judicial District Court of New Mexico (Luna County) or, where appropriate, the U.S. District Court for the District of New Mexico, and the parties hereby waive any objection to personal jurisdiction, venue, or forum.

Federal preemption shall apply under Article VI of the U.S. Constitution (Supremacy Clause), superseding any foreign or conflicting legal authority. Users irrevocably waive the right to class actions, jury trials, or consolidated proceedings. Binding arbitration may apply for claims under $10,000, conducted under the Federal Arbitration Act (9 U.S.C. §§ 1–16) before the AAA Commercial Division seated in Luna County, New Mexico.

  1. Eligibility and Account Responsibility

Use of Services is restricted to persons over the age of majority, with full legal capacity to contract. Accounts are non-transferable, and all activity, data, or transactions emanating from an account are the total responsibility of the registered User.

Failure to secure credentials or report unauthorized access constitutes negligence, and Heaven Technology LLC assumes no responsibility for resulting losses. The Company may terminate any account for inactivity, fraud, violation, or regulatory concern without notice or liability.

  1. Description of Services

Heaven Technology LLC offers advanced IT, cloud, and compliance services, including but not limited to:

  • Proprietary website scanning (as of January 14, 2026: detecting 5 services and 28 cookies).
  • Cloud computing, backup and recovery, and BCDR planning.
  • Cisco Meraki network integration, hardware supply, AI chatbots, e-commerce checkout, and supplementary SaaS modules.
    All services, including free or beta tools, are presented strictly “AS IS” without warranties of any kind and may be modified or discontinued without notice.
  1. User Covenants and Acceptable Use

You warrant that:

  • All information and materials provided are accurate, lawful, and within your authorized control.
  • You will not engage in prohibited conduct, including unauthorized scanning, malware dissemination, reverse engineering, or activities violating export, security, or intellectual property laws.

Violations may lead to immediate termination, blacklisting, civil or criminal referral, and indemnity enforcement as described below.

  1. Payments and Subscriptions

All pricing and payment terms are displayed on the Site and are non-refundable unless required by applicable consumer law. Subscriptions auto-renew unless canceled with at least 24-hour notice.
Late payments accrue interest at 1.8% per month or the maximum lawful rate, whichever is lower. All taxes and fees are borne by the Customer.

  1. Intellectual Property

All content, frameworks, software, branding, analytics, AI tools, and inventions offered through Heaven Technology LLC are proprietary intellectual property protected under U.S. Copyright Act, DMCA (17 U.S.C. § 512), Lanham Act, and international treaties.

Users are granted a non-exclusive, revocable, limited-use license during subscription. Submissions, including website scan data or analytics inputs, confer on the Company a perpetual, irrevocable license to anonymize, derive, and utilize such data for internal improvement or lawful operational use.

  1. Absolute Limitation of Liability and Incontestability

To the fullest extent permitted by the Constitution and laws of the United States and the State of New Mexico:

Heaven Technology LLC, including its members, officers, employees, contractors, affiliates, successors, and assigns (collectively, the “Company Parties”), shall be wholly and permanently released and held harmless from all liabilities, claims, causes of action, damages, expenses, or proceedings of any nature whatsoever, whether in contract, tort, equity, statute, or otherwise, arising out of or relating to Your access, use, or inability to use the Services.

This includes, but is not limited to, claims for:

  • Data loss, breach, unauthorized access, or corruption.
  • Business interruption, loss of profits, goodwill, or reputational harm.
  • Misrepresentation, omission, negligence, or statutory violation.
  • Any direct, incidental, consequential, exemplary, or punitive damages, regardless of foreseeability.

All Users irrevocably waive any and all rights to challenge, contest, appeal, or assert liability against Heaven Technology LLC to the maximum extent permitted by law. Where limitation is restricted by law, the total cumulative liability of the Company Parties shall not exceed USD $50 or the aggregate amount paid by the User within the preceding twelve (12) months, whichever is lesser.

This clause supersedes conflicting terms, survives indefinitely, and operates with absolute binding and incontestable effect in all jurisdictions recognizing legal disclaimers and contractual waivers.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Heaven Technology LLC and all Company Parties from and against any losses, liabilities, regulatory fines, damages, litigation, or expenses (including court costs and full attorneys’ fees) arising from:

  • Your violation of these Terms.
  • Misuse of Services, data processing, or scanning tools.
  • Third-party claims arising from content You submit or manage.
  1. Privacy, Data, and Cookies

Data handling aligns with U.S. federal privacy laws (and voluntarily with GDPR/CCPA). Heaven Technology uses 28 cookies for essential, analytical, and marketing purposes, and Users may adjust consent preferences.
Personal data is used for lawful, limited purposes and may be retained for up to 30 days post-scan unless otherwise required by statute.

No liability attaches for third-party integrations (Google Analytics, WooCommerce, Tag Manager, etc.) or failure to maintain compliance with consent and privacy regimes.

  1. Termination, Force Majeure, and Survival

Heaven Technology LLC may suspend or terminate access at any time with or without cause. Obligations relating to intellectual property, limitations of liability, indemnification, governing law, and dispute resolution survive indefinitely.

The Company shall not be deemed in breach or liable for failure to perform due to force majeure events (including acts of God, terrorism, cyber incidents, or statutory injunctions).

  1. Remedies and Enforcement

You acknowledge that any breach of these Terms causes irreparable harm to Heaven Technology LLC for which monetary damages are insufficient. Accordingly, Heaven Technology LLC is entitled to injunctive relief or equitable enforcement without bond, in addition to all available legal remedies.

All claims must be brought within one (1) year from the event giving rise thereto or be permanently barred. The prevailing party shall recover 100% of reasonable attorneys’ fees and related costs.

  1. Miscellaneous and Integration

Invalid provisions shall be severed or reformed to achieve intent and enforceability.
Heaven Technology LLC may assign or transfer rights freely; You may not assign without consent.
These Terms represent the entire agreement, superseding all prior communications, representations, or implied understandings.

Acknowledgment:
By using or accessing any Service, You acknowledge that these Terms—interpreted in accordance with the highest applicable law of the United States and the State of New Mexico—constitute a perpetual and binding release of Heaven Technology LLC and its affiliates from all legal liability. This Agreement is intended to achieve the maximum enforceable protection under constitutional, statutory, and common law principles now and hereafter in existence.
