  1. Acceptance of Terms

These Terms of Service (“Terms” or “Agreement”) constitute a legally binding contract between Heaven Technology LLC (“Heaven Technology,” “we,” “our,” or “us”) and you (“User,” “Customer,” or “Client”) governing access to and use of our website, applications, systems, and online services (collectively, the “Platform”).

By accessing, browsing, purchasing, or using any part of our Platform, you agree to comply with these Terms and our Privacy Policy, which together govern your relationship with Heaven Technology LLC.

If you do not agree to these Terms, you must immediately cease all use of our services.

  1. Corporate Overview and Service Scope

Heaven Technology LLC is a U.S.-based technology solutions provider offering a suite of online services including e-commerce capabilities, digital solutions, IT consulting, subscription communications, and user engagement features via WordPress, Elementor, WooCommerce, MailPoet, Forminator, and related plugins or integrations.

We may add, upgrade, or discontinue components of our services at our discretion without prior notice, ensuring continuous adaptation to evolving technology standards and regulatory requirements.

  1. Eligibility and User Representation

To access or use our Platform, you represent and warrant that:

  1. You are at least eighteen (18) years old or the age of majority in your jurisdiction.
  2. You possess the full legal capacity to enter into binding contracts.
  3. Your use of the Platform complies with all applicable federal, state, and international laws.
  4. The information provided by you during account creation or transactions is accurate, complete, and current.

Unauthorized access, use, or misrepresentation of your identity constitutes a material breach of these Terms.

  1. Account Creation and Security

Certain Platform functions require registration. Upon creation of an account, you must:

  • Maintain the confidentiality of your credentials.
  • Implement reasonable security practices, including strong passwords and updated browsers.
  • Accept full responsibility for all activities conducted under your account credentials.

Heaven Technology LLC reserves the right to suspend or terminate any account that engages in activity deemed fraudulent, abusive, negligent, or inconsistent with company policy or applicable law.

  1. Payment Processing and Transaction Terms

Transactions on our Platform are powered by WooCommerce, with secure payment integrations through Square, Amazon Pay, and Google for WooCommerce. By initiating a transaction, you authorize Heaven Technology LLC to charge your provided payment method for the total amount of your purchase, including any applicable taxes or transaction fees.

To the maximum extent permitted by law, Heaven Technology LLC disclaims liability for technical interruptions, banking delays, or third-party system failures. All transactions are subject to verification and anti-fraud review.

  1. Pricing, Refunds, and Service Continuity

Pricing for our products or services is displayed in U.S. dollars and subject to change without notice. We reserve the right to adjust pricing to reflect market conditions, licensing costs, or infrastructure updates.

Refunds, where applicable, are governed by our published Refund Policy or by terms specified at the time of purchase. Refund processing timelines may vary based on financial institutions. Subscriptions, if offered, renew automatically unless canceled in accordance with the stated procedures.

  1. Intellectual Property and Proprietary Rights

All content, technology frameworks, source code, software tools, designs, logos, documents, and related materials provided on the Platform (“Intellectual Property”) are owned or licensed by Heaven Technology LLC.

You are granted a limited, non-transferable, revocable license to access and use our Platform for legitimate business or personal use consistent with these Terms. You may not:

  • Copy, reproduce, distribute, or create derivative works.
  • Reverse-engineer, decompile, or attempt to extract source code.
  • Use our Intellectual Property for competitive analysis or unauthorized modification.

All rights not expressly granted are reserved exclusively to Heaven Technology LLC.

  1. User-Generated Content and Submissions

When you submit material—such as feedback, reviews, form responses, or uploaded content—you:

  • Grant Heaven Technology LLC a non-exclusive, perpetual, irrevocable, worldwide license to use, publish, display, distribute, or modify such content for operational or analytical purposes.
  • Affirm that you hold all necessary rights and permissions to share that content.
  • Agree to indemnify Heaven Technology LLC from any claims arising from submitted content violating intellectual property or privacy rights.

We reserve full discretion to moderate, modify, or remove any content that violates legal standards, intellectual property, or community policies.

  1. Acceptable Use and Prohibited Conduct

You agree to use the Platform responsibly and not to engage in any activity that:

  1. Violates applicable law, including privacy, export control, or data protection regulations.
  2. Harasses, threatens, defames, or otherwise abuses other users or Heaven Technology personnel.
  3. Circumvents security measures, uploads malware, or exploits system vulnerabilities.
  4. Uses automated tools (bots, scripts, crawlers) without express written consent.
  5. Attempts to reverse-engineer Platform code or gain unauthorized system access.

Any violation of this clause may result in immediate account termination, data removal, and legal action.

  1. Third-Party Integrations

Our Platform collaborates with third-party service providers, including but not limited to Square, Amazon, Google, WooCommerce, and WordPress plugin developers. Interaction with these systems is governed by their respective privacy and service terms.

Heaven Technology LLC exercises due diligence in selecting technology partners but is not responsible for their independent practices, security standards, or service reliability.

  1. Warranties, Disclaimers, and Limitation of Liability

The Platform is provided “as is” and “as available.” Heaven Technology LLC, to the fullest extent permitted by law, expressly disclaims:

  • All warranties of merchantability, fitness for purpose, or non-infringement.
  • Any representation that the Platform will be uninterrupted, secure, or error-free.
  • Liability for data loss, business interruption, or technical inaccessibility.

To the maximum extent permitted under law, Heaven Technology LLC and its affiliates shall not be liable for:

  • Indirect, incidental, consequential, punitive, or exemplary damages.
  • Errors, omissions, or delays caused by third-party integrations or Force Majeure events.
  • Unauthorized data disclosure resulting from unavoidable cybersecurity risks.

Your sole and exclusive remedy is discontinuation of use of the Platform.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Heaven Technology LLC, its executives, affiliates, contractors, and licensors against any claims, demands, or expenses, including legal fees, arising from:

  • Your use or misuse of the Platform.
  • Breach of these Terms or applicable law.
  • Submission of infringing or unlawful content.
  1. Data Protection and Privacy

Your privacy is protected under our Privacy Policy, which forms part of these Terms. All personal information is managed according to U.S. federal privacy laws, and where applicable, international frameworks such as GDPR or CPRA.

Users are responsible for ensuring that any personal data shared is accurate, current, and lawfully obtained.

  1. Service Availability, Maintenance, and Modifications

Heaven Technology LLC strives to maintain optimal uptime and data continuity. However, we reserve the right to:

  • Suspend or modify access for maintenance or security reasons.
  • Update or change service functionality without prior notice.
  • Terminate or restrict access where required to comply with law or protect network integrity.

We are not liable for temporary unavailability due to circumstances beyond our control.

  1. Termination of Access

We may terminate or suspend user access at our discretion without notice if we reasonably believe a user’s actions:

  • Violate these Terms.
  • Compromise platform security.
  • Interfere with other users’ functionality or experience.

Termination does not negate accrued obligations such as outstanding payments or indemnification duties, which will survive termination.

  1. Arbitration, Governing Law, and Jurisdiction

All disputes arising under or related to these Terms shall first be attempted to be resolved through good faith negotiation.

If unresolved within thirty (30) days, disputes shall be submitted to binding individual arbitration conducted by a recognized arbitration association located in Maricopa County, Arizona, pursuant to the Federal Arbitration Act.

To the extent arbitration is not elected, you agree that exclusive jurisdiction and venue shall lie in the state or federal courts of Arizona, United States.

You waive the right to participate in any class action, collective proceeding, or jury trial against Heaven Technology LLC.

  1. Compliance and Export Control

Users must comply with all applicable export control laws, including U.S. Department of Commerce or Treasury restrictions. The Platform may not be used in, by, or for entities sanctioned under U.S. regulations or international trade restrictions.

  1. Force Majeure

Heaven Technology LLC shall not be held liable for any failure or delay resulting from causes beyond its reasonable control, including but not limited to: natural disasters, internet outages, cyberattacks, acts of civil or military authority, or changes in regulatory requirements.

  1. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Heaven Technology LLC’s failure to enforce any provision shall not constitute a waiver of future enforcement rights.

  1. Updates to Terms

These Terms may be updated periodically to reflect changes in business practices, legal requirements, or security standards. Revised versions will be posted on this page and indicated with a new effective date. Continued use constitutes acceptance of the updated Terms.
